Agreement to Terms

Welcome to Carte. (a.k.a. “we” or “us” or “our” or the “Company”). Please read this terms of service agreement (“Terms of Service”) carefully as it constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (a.k.a. “you” or “your”), concerning the use of our services such as but not limited to our website www.carteapp.io (the “Website”), web applications, domains and subdomains.

By using the Website, you have read, understood and agree to be bound and abide by these Terms of Service.

We are committed to adopt the best security and coding practices in the development of our Website and services, but we cannot guarantee that all use will be secure. We also do not guarantee that the Website and our services are error free. We manage your personal data according to our Privacy Policy.

Prohibited Activities

Payment Terms

The Company may charge you fees in accordance with the Company’s Pricing information. All payments are non-refundable except as expressly provided herein or in the Pricing information. For subscription-based products or services, any downgrade or changes in subscription status by you will become effective only after the subscription at the original level has expired.

Fees are in Singapore Dollars and do not include any applicable levies, duties, governmental fees, or other taxes unless otherwise stated. You are further responsible for any fees charged by your chosen payment methods.

We reserve all rights to amend the Company’s Pricing information. Changes to the Pricing information will take effect upon any renewal, creation of accounts subsequent to the date of change or FIRST DAY of the next calendar month, wherever applicable.

Disclaimer of Warranties, Limitations of Liability and Indemnification

Your use of Carteapp.io is at your sole risk. The services provided are provided “AS IS” and “AS AVAILABLE”. We disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. We are not liable for damages, direct or consequential, resulting from your use of the Website, and you agree to defend, indemnify and hold us harmless from any claims, losses, liability costs and expenses arising from your violation of any third-party’s rights. You acknowledge that you have only a limited, non-exclusive, non transferable license to use the Website. Because the Website is not error or bug free, you agree that you will use it carefully and avoid using it ways which might result in any loss of your or any third party’s property or information.

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) our services; (2) use of the Website; (3) breach of these Terms of Service; (4) any breach of your representations and warranties set forth in these Terms of Services; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Website with whom you connected via the Website.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Termination of Accounts

You're free to stop using our Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you're not complying with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services or disrupt others' use of the Services.

Geographic Restrictions

We only provide the use of the Website by persons residing or located in Singapore. If you access the Website from outside of Singapore, you do so on your own initiative and are responsible for compliance with local laws and regulations.
